By accessing or using the DirectEx platform, you agree to be bound by these Terms & Conditions.

2. Platform Description

DirectEx is an online freelancer marketplace that enables businesses and independent professionals to discover, engage, and collaborate on project-based services. The platform provides tools for freelancer discovery, project management, communication, payment facilitation, escrow-style protection, and dispute resolution support.

DirectEx acts solely as a technology platform and service facilitator. DirectEx does not provide professional services, does not guarantee specific outcomes, and does not create an employment, partnership, agency, or joint venture relationship between users.

3. User Eligibility

Users must be at least 18 years of age and legally capable of entering into binding agreements. By using the platform, users represent that they comply with all applicable laws, regulations, and tax obligations relevant to their activities.

DirectEx may conduct reasonable verification checks and may restrict, suspend, or terminate access if eligibility requirements are not met.

4. User Responsibilities

Users agree to:

  • Provide accurate, complete, and up-to-date information
  • Use the platform only for lawful purposes
  • Communicate honestly and professionally
  • Deliver services or payments in accordance with agreed project terms
  • Comply with platform policies, guidelines, and dispute resolution processes

Users are solely responsible for the content they submit, services they offer or request, and compliance with applicable laws.

5. Fees and Payments

DirectEx charges platform service fees that are generally lower than prevailing market rates. All fees are determined based on the underlying service contracts established through partner freelancer platforms, including Kmong and Soomgo, and are transparently disclosed to both clients and freelancers prior to engagement.

Fees are clearly presented to all parties and agreed upon before confirmation of a project or transaction.

6. Payments, Escrow, and Dispute Resolution

6.1 Payments

Payments made through the DirectEx platform relate solely to freelance services provided by independent freelancers to clients. DirectEx facilitates payment processing to support structured, transparent service transactions but does not act as the employer of freelancers or the purchaser of services.

6.2 Escrow and Service Guarantee

DirectEx provides an escrow-style payment mechanism designed to help protect both clients and freelancers. Client funds may be collected and held temporarily upon project commencement or milestone approval. Funds are released to the freelancer only after agreed deliverables are confirmed, helping to ensure service completion and quality in line with platform guidelines.

The escrow mechanism is intended to support fair service delivery and reduce risk for both parties. DirectEx does not operate as a financial institution, trustee, or custodian and does not offer regulated financial services.

6.3 Dispute Resolution

In the event of a dispute between a client and a freelancer, DirectEx provides dispute resolution support in accordance with platform policies. This may include reviewing project documentation, communications, submitted deliverables, and milestone agreements.

DirectEx may temporarily withhold or release escrowed funds based on the outcome of the dispute review process. While DirectEx facilitates dispute handling and escrow decisions, ultimate responsibility for contractual obligations remains with the client and freelancer.

7. Intellectual Property

All platform software, content, trademarks, logos, and proprietary materials are owned by or licensed to DirectEx. Users retain ownership of their own content but grant DirectEx a limited, non-exclusive license to use such content for platform operation and promotion.

Users must not copy, modify, or misuse platform intellectual property without prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law, DirectEx is not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities arising from use of the platform.

DirectEx does not warrant uninterrupted or error-free operation of the platform.

9. Termination

DirectEx may suspend, restrict, or terminate a user’s access to the platform at any time if the user violates these Terms, platform policies, applicable laws, or engages in conduct that may pose legal, operational, or reputational risk to the platform.

Provisions that by their nature should survive termination shall survive termination to the extent applicable. DirectEx is not liable for losses resulting from account suspension or termination carried out in accordance with these Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws applicable to the DirectEx operating entity, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or use of the platform shall be subject to the exclusive jurisdiction of the competent courts applicable to the DirectEx operating entity, unless otherwise required by law.

11. Changes to Terms

DirectEx may update or modify these Terms & Conditions from time to time to reflect changes in platform features, policies, or applicable law. Where reasonably practicable, notice of material changes will be provided through the platform or website. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
